Efespay Partner Program Agreement

This agreement is concluded between Ahmet Aksungur (Aksungur Yazılım) (hereinafter “Efespay”), which provides the Efespay service and whose details are given below, and the individual, sole proprietorship or company that applies to the Efespay Partner Program and provides its details in the application form (hereinafter the “Partner”).

The Partner's identity, contact, tax and bank details are recorded in the application form and in the partner dashboard. The Partner is responsible for keeping these details accurate and up to date.

• Program: the Efespay Partner Program, under which Efespay pays commission to partners who refer businesses to Efespay.
• Customer: a business created by a user who signed up for Efespay through the Partner's referral, and attributed to the Partner.
• Referral link: the Partner's personal link in the format https://efespay.com/?ref=CODE.
• Active customer: a customer attributed to the Partner whose paid subscription period is ongoing.
• Tier: the Starter, Silver or Gold tier, determined by the Partner's number of active customers.
• Customer year: the year counted from the customer's first paid payment (year 1, year 2, year 3 and later).
• Commission base: the subscription amount the customer actually paid to Efespay, excluding VAT.
• Earnings: the amount accrued in a period after refund deductions and adjustments.
• Program version: the rate table with an effective date that sets the tier thresholds and commission rates.

The subject of this agreement is the payment of commission by Efespay to the Partner, on the terms of this agreement, in return for the Partner introducing and referring the Efespay service to businesses.

The Partner acts independently. The Partner has no authority to conclude contracts, collect payments or make commitments on behalf of Efespay; no employment, agency or partnership relationship is created between the parties. Customers conclude their subscription agreement directly with Efespay and pay Efespay directly.

• Applications are made through the partner application form while logged in with a Efespay account. The applicant provides the partner type (individual, sole proprietorship or company) and complete and accurate contact, tax and bank details, and accepts this agreement and the KVKK privacy notice.
• Efespay reviews the application and may approve or reject it. A rejected application may be submitted again.
• The Partner updates their details in the partner dashboard when they change. Changes to bank and tax details apply to subsequent payouts.

• A cookie valid for 90 days is stored in the browser of a visitor who arrives through the referral link. The business created by a user who signs up during this period is attributed to the Partner.
• The attributed business becomes an active customer if it makes its first paid payment within 90 days of attribution; if no payment is made within this period, the attribution ends.
• The first partner wins: a business is attributed to only one partner, and links used later do not change an existing attribution.
• A user who deletes cookies or signs up from a different browser or device may not be attributed to the Partner. Efespay may correct or end incorrect attributions or attributions that breach this agreement, and may make an attribution manually where necessary.
• The Partner may not refer themselves, their own business, or businesses that share the Partner's tax ID, billing details or email address (self-referral). Commission on such payments is put on hold for review.

• For each collected payment, commission is calculated on the commission base at the rate set by the Partner's tier and the customer year.
• The tier is determined by the number of active paying customers: Starter 1–2, Silver 3–7, Gold 8 or more active customers. The number of active customers on the date the payment is collected is used.
• The customer year is counted from the customer's first paid payment; from year 3 on, the base rate applies. If the service period of a payment covers more than one customer year, the rate is weighted by the number of days falling in each year.

Rates in version 1 of the program (year 1 / year 2 / year 3 and later):

• Starter: 40% / 30% / 20%
• Silver: 45% / 35% / 25%
• Gold: 50% / 40% / 30%

The rates in effect and any announced rates are published on the partner program page.

• Commission arises only on subscription payments collected by Efespay: payments made by card (iyzico, Stripe) and by bank transfer. VAT and uncollected amounts are not commissionable.
• If a customer receives a refund, the commission on the refunded payment is reversed and deducted from the Partner's earnings.
• Efespay may correct incorrectly calculated amounts with an adjustment entry in the next earnings.

• Efespay may change the tier thresholds and commission rates by publishing a new program version. A new version is announced on the partner program page before its effective date.
• A new version applies to customers attributed to the Partner after its effective date.
• For existing customers, the rates of the previous version continue to apply for 12 months from the date the new version takes effect; after this period, the version in effect applies.
• Changes to the other provisions of this agreement are notified to the Partner before they take effect. A Partner who does not accept a change may terminate the agreement.

• Commission accrues throughout the month. On the 1st of each month, Istanbul time, the previous month's earnings close; refund deductions and adjustments are applied at this close.
• If the balance at the close is ₺1,000 or more, a payout is created; a balance below this amount carries over to the next month.
• Company and sole proprietorship partners issue an invoice to Efespay, adding 20% VAT to the payout amount, and upload it to the partner dashboard. No payment is made before the invoice is approved.
• Individual partners are not required to issue an invoice. An individual Partner fulfils their own reporting and tax obligations relating to the commission income they earn.
• Once Efespay approves the earnings, they are paid by bank transfer to the IBAN saved in the partner dashboard. The earnings breakdown is shown in the partner dashboard.

• Present Efespay accurately; make no misleading claims about prices, features, payments or results, and make no commitments on behalf of Efespay.
• Send no unsolicited bulk email, SMS or messages (spam); send commercial messages in line with applicable law, including Turkish Law No. 6563.
• Use the Efespay name and logo only to promote Efespay, without modifying them and without giving the impression of being an official Efespay account or representative.
• Process prospects' personal data in line with the Turkish Personal Data Protection Law No. 6698 (KVKK); when sending invitations from the partner dashboard, make sure the recipient has agreed to this communication.
• Do not self-refer; do not create fake accounts, fake sign-ups or fake payments.
• Do not collect payments from customers on behalf of Efespay.

• Efespay may suspend the partnership or terminate the agreement in case of self-referral, spam, misleading claims, fake sign-ups or any other breach of this agreement.
• During a suspension and where abuse is suspected, the related earnings are put on hold for review; earnings arising from abuse are not paid.
• The Partner may terminate the agreement at any time by writing to info@efespay.com.

Efespay processes the Partner's identity, contact, tax and bank details in line with KVKK for running the program, calculating earnings, making payouts and meeting legal obligations (tax and accounting records). Details are given in the KVKK privacy notice.

The partner dashboard shows only the customer information needed to run the program (business name, plan, payment and commission amounts). The Partner uses this information only within the program and does not share it with third parties.

Efespay's liability under this agreement is limited to the commission payable to the Partner under this agreement. Efespay does not promise the Partner any number of customers, income or earnings; the calculator on the partner program page is an estimate only.

The Partner is responsible for the consequences of their own statements and actions (including misleading promotion, unsolicited messages and unlawful processing of personal data).

This agreement is governed by Turkish law. The courts and enforcement offices of Istanbul (Çağlayan) have jurisdiction over disputes.

• This agreement took effect as version 1 on October 11, 2026. The Partner accepts the agreement electronically when applying; the acceptance date and agreement version are stored in the partner record.
• Notices between the parties are sent by email to the Partner's email address saved in the partner dashboard and to Efespay at info@efespay.com.
